Agreement Between MAJHIGRAM TECH PVT LTD (Seller) and Gram Panchayat (Buyer)

This document outlines the terms and conditions under which MAJHIGRAM TECH PVT LTD (hereinafter referred to as the "Seller") agrees to develop and maintain the Gram Panchayat website for Gram Panchayat (hereinafter referred to as the "Buyer").

1. Scope of Work (Scope of Services)

1.1. Deliverables: The Seller shall provide the following services:

• Website Setup: Installation and configuration of the website designed theme/template for Gram Panchayat digital portals.
• Subdomain & Hosting: Provision of one (1) dedicated subdomain (e.g. villagename.gpweb.in or similar as per availability) and secured web hosting for the contract period.
• Admin Panel: Provision of a separate, user-friendly Admin Panel for content management by authorized Buyer personnel.
• Training : Training material for necessary guidance to fill information on the admin panel will be available on the main website (gpweb.in) and guidance will be provided as required.

1.2. Compliance: The website structure shall be as per demo website displayed on gpweb.in. maximum compliant with the RDD Government of Maharashtra's guidelines regarding transparency, disclosure of minutes, notices, schemes, budgets, and elected representatives' details.

2. Term, Activation, and Payment

2.1. Contract Term: The contract for website development, hosting, and support shall be valid for a period of one (1) year starting from the date of payment confirmation, unless otherwise specified in the purchase order (PO).

2.2. Payment: The Buyer shall pay the agreed-upon total fee to the Seller as specified in the official Purchase Order (PO) or Invoice.

2.3. Website Activation: The website will be ready within 24 hours to 3 working days after payment is confirmed.

2.4. Renewal: Continuation of website designed theme, hosting and support after the initial term requires a renewal payment at the agreed-upon annual rate, due 30 days prior to the expiry date.

3. Roles and Responsibilities

3.1. Buyer's Responsibilities:

• Content Upload: The buyer will fill all the basic information and data on the website through the admin panel. Also, he will make new necessary posts.
• Information Accuracy: The Buyer is solely responsible for the accuracy, legality, and authenticity of all content published on the website via the Admin Panel.
• Authorization: The Buyer must nominate and authorize the personnel responsible for content updates and management.

3.2. Seller's Responsibilities:

• Service Level Agreement (SLA) for Hosting: The Seller shall provide a minimum of 99.5% uptime for the website hosting service, excluding scheduled maintenance.
• Technical Support: The Seller shall provide technical support for website functionality, hosting issues, and Admin Panel usage during standard business hours 9:00 AM to 6:00 PM IST, excluding national holidays.
• Security: The Seller shall take reasonable measures to secure the hosting environment but is not responsible for security breaches caused by the Buyer’s negligence (e.g., sharing Admin Panel credentials).

4. Ownership and Intellectual Property

4.1. Content Ownership: All content (text, data, photos, videos) provided by the Buyer and uploaded to the website remains the exclusive property of the Gram Panchayat (Buyer).

4.2. Software Ownership: The underlying code, design framework, and proprietary modules developed by MAJHIGRAM TECH PVT LTD remain the intellectual property of the Seller. The Buyer receives a non-exclusive license to use the final product during the contract term.

5. Termination

5.1. Termination by Buyer: The Buyer may terminate the contract by giving 30 days' written notice. No refunds for the unused term of hosting and support will be provided upon early termination.

5.2. Termination by Seller: The Seller reserves the right to suspend or terminate services immediately, without refund, if the Buyer uses the website for any illegal, unauthorized, or non-compliant activities that violate Indian laws or explicit government guidelines for public portals.

6. Governing Law and Dispute Resolution

6.1. Governing Law: This agreement shall be governed by and interpreted in accordance with the laws of India and the jurisdiction of the State of Maharashtra.

6.2. If the website is not operational for a day or more due to any technical reason, the same period will be extended in the subscription year.

6.3. Dispute Resolution: Any dispute arising out of or in connection with this agreement shall first be attempted to be resolved amicably through mutual discussion. If a resolution is not found, the dispute shall be subject to the exclusive jurisdiction of the Courts in Chhatrapati Sambhajinagar.

7. Changes

We reserves the right to change or update this Terms and Conditions at any time. Such changes shall be effective immediately upon posting to the Site.
